1. PARTIES AND DEFINITIONS

This License Agreement ("Agreement") is a legally binding contract between you (the "Licensee" or "you") and Apparicio Junior trading as KADO.Archive ("Licensor", "we", "us", or "our"), governing your use of digital products purchased from https://kadoarchive.com.

Definitions:

  • "Digital Products" means all iPhone presets, wallpapers, DaVinci Resolve PowerGrades, design guides, educational materials, bundles, and any other digital assets sold by KADO.Archive

  • "License" means the right to use the Digital Products under the terms specified in this Agreement

  • "Personal Use" means use by you for non-commercial, non-business purposes

  • "Commercial Use" means any use related to business, trade, revenue generation, or professional services

  • "Personal Devices" means electronic devices that you personally own or control

2. LICENSE GRANT

Upon successful payment and download of any Digital Product, we grant you a non-exclusive, non-transferable, personal use license to use the purchased Digital Products subject to the terms and conditions set forth in this Agreement.

What This Means:

  • Non-exclusive: Others can also purchase and use the same products

  • Non-transferable: You cannot give, sell, or transfer this license to anyone else

  • Personal use: For your own personal, non-commercial projects only

3. SCOPE OF LICENSE

3.1 Number of Installations

You may install and use the Digital Products on unlimited personal devices that you own or control, including but not limited to:

  • Personal computers (desktop and laptop)

  • Smartphones and tablets

  • Any other personal electronic devices

3.2 One License Per Person

Each purchase constitutes one license for one person only. You may not:

  • Share your downloaded files with friends, family, or any third party

  • Allow others to access your account to download the products

  • Install the products on devices you do not personally own or control

3.3 Backup and Re-downloads

  • You may create backup copies of the Digital Products for personal archival purposes

  • You may re-download the Digital Products through your customer account portal at any time

  • Lost or deleted files can be recovered through your account without additional payment

4. PERMITTED USES

You MAY use the Digital Products for the following purposes:

4.1 Personal Creative Projects

  • Edit your personal photos using presets

  • Use wallpapers on your personal devices

  • Apply color grading to personal videos using PowerGrades

  • Learn and practice design skills with educational materials

4.2 Social Media Sharing

  • Post photos and videos edited with our products on social media platforms

  • Share your creative work on Instagram, Facebook, YouTube, TikTok, and other platforms

  • Discuss and showcase the products in your social media content

  • Create content for your personal (non-monetized) social media accounts

4.3 Student and Portfolio Use

  • Use the products in school projects and assignments

  • Include work created with our products in your personal portfolio

  • Showcase your skills and creativity using the products

  • Reference concepts learned from educational materials in academic work

4.4 Modifications to Presets and PowerGrades

  • Adjust and modify presets within Lightroom, Photoshop, or other editing software

  • Customize PowerGrades within DaVinci Resolve

  • Create derivative settings based on our products for your own personal use

  • Fine-tune products to match your personal creative vision

5. PROHIBITED USES

You MAY NOT use the Digital Products for any of the following purposes:

5.1 Sharing and Distribution

  • Share, distribute, or transfer the Digital Products to any other person

  • Upload the products to file-sharing platforms, torrent sites, or cloud storage for others to access

  • Allow household members, friends, or family to use your downloaded products

  • Include the products in any template, kit, or bundle for distribution

  • Post the actual product files online or make them available for download

5.2 Commercial Use Without License

Commercial use is strictly prohibited without obtaining a separate commercial license. Commercial use includes but is not limited to:

  • Freelance Work: Using the products for paid client work, including photography, videography, or design services

  • Business Operations: Any use related to a business, company, or professional practice

  • Revenue-Generating Content: Using the products for monetized YouTube channels, sponsored Instagram posts, paid partnerships, or any content that generates income

  • Professional Services: Wedding photography, event photography, commercial videography, or any paid creative services

  • Agency or Studio Work: Use by design agencies, production companies, or creative studios

  • Resale or Licensing: Creating or selling products, prints, or services that incorporate our Digital Products

To obtain a commercial license, contact us at info@kadoarchive.com. Commercial licenses are available for a one-time payment, with pricing based on the specific product and intended use.

5.3 Wallpaper Modification

  • Wallpapers are final production files and may NOT be modified, edited, or altered in any way

  • You may not crop, resize beyond standard scaling, add elements to, or create derivative works from wallpapers

  • You may not use wallpapers as source material for other creative projects

  • Wallpapers must be used as-is in their original form

5.4 Reproduction and Reverse Engineering

  • Recreate, reverse engineer, or attempt to extract elements from the Digital Products

  • Use the products as reference to create competing products or services

  • Decompile, disassemble, or attempt to derive the source methodology of the products

  • Create tutorials showing others how to replicate the products

5.5 Ownership Claims

  • Claim authorship or ownership of the Digital Products

  • Remove, alter, or obscure any copyright notices, watermarks, or attribution

  • Present the products as your own creation

  • Sublicense, rent, lease, or lend the products to others

5.6 Transfer of License

  • Sell, gift, or transfer your license to another person or entity

  • Transfer the products when selling a device they're installed on

  • Include the products in the sale of any computer, phone, or electronic device

  • Allow the license to be inherited or transferred upon death or business dissolution

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Ownership

All Digital Products, including but not limited to presets, wallpapers, PowerGrades, design guides, and educational materials, remain the exclusive intellectual property of Apparicio Junior trading as KADO.Archive and/or our contributing artists and designers.

This license grants you the right to use the products, not to own them. All copyrights, trademarks, trade secrets, and other proprietary rights remain with KADO.Archive.

6.2 Derivative Works

  • Works you create using the products (e.g., photos edited with presets) are yours

  • The products themselves and any modified versions remain our property

  • You own the final output, but not the tools used to create it

6.3 Attribution

While not required, we appreciate when you credit KADO.Archive when sharing work created with our products. However, we understand this may not always be practical, and attribution is optional and voluntary.

7. UPDATES AND NEW VERSIONS

7.1 Product Updates

If we release updates, improvements, or bug fixes to an existing product you have purchased, you will receive these updates free of charge through your customer account.

7.2 New Products

New products, collections, or substantially different versions are considered separate products and require a new purchase. The distinction between an update and a new product is at our sole discretion.

7.3 No Obligation

We are not obligated to provide updates, support, or new versions of any Digital Product. Any updates provided are at our discretion.

8. EDUCATIONAL MATERIALS

Educational products (including but not limited to ebooks, guides, and courses) are subject to the following additional terms:

8.1 Personal Learning Only

  • Educational materials are licensed for your personal learning and reference only

  • You may not share, distribute, or reproduce the materials

  • You may not teach courses or workshops using our materials without permission

8.2 Discussion and Application

  • You may discuss concepts and ideas learned from the materials

  • You may apply techniques and knowledge gained in your own work

  • You may reference general concepts (but not reproduce content) in discussions or teaching

8.3 No Reproduction

  • You may not photocopy, scan, or digitally reproduce the materials

  • You may not create derivative educational materials based on our content

  • You may not translate or adapt the materials into other formats or languages

9. COMMERCIAL LICENSING

9.1 Obtaining a Commercial License

If you wish to use any Digital Product for commercial purposes, you must:

  3. Describe your intended commercial application

  4. Negotiate and agree upon commercial licensing terms and pricing

9.2 Commercial License Terms

  • Commercial licenses are product-specific and use-specific

  • Pricing is determined on a case-by-case basis

  • Payment is a one-time fee (not recurring)

  • Commercial license terms will be provided in a separate written agreement

  • Commercial licenses are still non-transferable

9.3 Unauthorized Commercial Use

Using any Digital Product for commercial purposes without a valid commercial license constitutes a material breach of this Agreement and may result in:

  • Immediate termination of your license

  • Legal action for copyright infringement

  • Claims for damages and lost profits

  • Injunctive relief

10. PAYMENT AND DELIVERY

10.1 Payment Processing

Payments are processed through secure third-party payment processors (currently Lemon Squeezy or Stripe). By purchasing, you agree to their respective terms of service and privacy policies.

10.2 Instant Delivery

Upon successful payment, you will receive immediate access to download your purchased Digital Products. Download links and access will be provided via email and through your customer account portal.

10.3 Account Access

You will have ongoing access to your purchased products through your customer account, allowing you to re-download products at any time.

11. NO REFUNDS

All sales are final. No refunds will be issued under any circumstances, as Digital Products are delivered instantly and cannot be returned.

Technical Support

If you experience legitimate technical issues (file corruption, download problems, compatibility issues), contact us at info@kadoarchive.com with:

  • Your order number

  • Description of the technical issue

  • Supporting evidence (screenshots, error messages, etc.)

We will provide technical support and replacement files for verified technical issues, but this does not constitute a refund policy.

12. WARRANTY AND DISCLAIMER

12.1 Limited Warranty

We warrant that:

  • Digital Products will be delivered as described

  • Files will be free from defects in workmanship at the time of delivery

  • Products will perform substantially as described

12.2 Compatibility

We do not warrant compatibility with all devices, software versions, or operating systems. It is your responsibility to verify compatibility before purchase:

  • iPhone presets require compatible photo editing applications

  • PowerGrades require DaVinci Resolve (specific version may be required)

  • Wallpapers may need to be scaled for different device resolutions

  • Educational materials may require specific software or knowledge

12.3 Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED ABOVE, ALL DIGITAL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising from or related to your use of the Digital Products, even if we have been advised of the possibility of such damages.

Our total liability for any claims arising from or related to this Agreement or your use of the Digital Products shall not exceed the amount you paid for the specific product giving rise to the claim.

14. TERM AND TERMINATION

14.1 License Duration

This license is perpetual and will remain in effect unless terminated in accordance with this Agreement.

14.2 Termination by You

You may terminate this license at any time by:

  • Ceasing all use of the Digital Products

  • Deleting all copies of the Digital Products from your devices

  • Notifying us in writing of your termination

Termination does not entitle you to a refund.

14.3 Termination by Us

We may terminate your license immediately if you:

  • Breach any term of this Agreement

  • Use the products for unauthorized commercial purposes

  • Share, distribute, or resell the products

  • Engage in any prohibited activity listed in this Agreement

14.4 Effect of Termination

Upon termination:

  • Your right to use the Digital Products immediately ceases

  • You must delete all copies of the products from your devices

  • You must cease all use of works created with the products for commercial purposes (if applicable)

  • You will not be entitled to any refund

  • Sections of this Agreement that by their nature should survive termination will continue to apply

15. ENFORCEMENT

15.1 Monitoring and Detection

While we respect your privacy, we reserve the right to:

  • Monitor for unauthorized use or distribution of our products

  • Take action against accounts engaging in prohibited activities

  • Investigate suspected violations of this Agreement

15.2 Consequences of Violation

Violation of this Agreement may result in:

  • Immediate termination of your license

  • Deletion of your customer account

  • Legal action for copyright infringement

  • Claims for damages, lost profits, and attorney's fees

  • Reporting to appropriate authorities

15.3 Legal Remedies

In addition to termination, we reserve all legal rights and remedies available under UK law and international copyright law, including but not limited to injunctive relief and monetary damages.

16. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom, without regard to its conflict of law provisions.

Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. GENERAL PROVISIONS

17.1 Entire Agreement

This License Agreement, together with our Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and KADO.Archive regarding the Digital Products and supersedes all prior agreements and understandings.

17.2 Amendments

We reserve the right to modify this Agreement at any time. Changes will be effective upon posting to our website with an updated "Last updated" date. Your continued use of the Digital Products after changes constitutes acceptance of the modified Agreement.

For products purchased before an amendment, the terms in effect at the time of purchase will apply unless the changes are required by law.

17.3 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17.4 Waiver

Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

17.5 Assignment

You may not assign or transfer this Agreement or your license to any third party. We may assign this Agreement to any successor or affiliate without restriction.

18. ACCEPTANCE

14. TERM AND TERMINATION

14.1 License Duration

This license is perpetual and will remain in effect unless terminated in accordance with this Agreement.

14.2 Termination by You

You may terminate this license at any time by:

  • Ceasing all use of the Digital Products

  • Deleting all copies of the Digital Products from your devices

  • Notifying us in writing of your termination

Termination does not entitle you to a refund.

14.3 Termination by Us

We may terminate your license immediately if you:

  • Breach any term of this Agreement

  • Use the products for unauthorized commercial purposes

  • Share, distribute, or resell the products

  • Engage in any prohibited activity listed in this Agreement

14.4 Effect of Termination

Upon termination:

  • Your right to use the Digital Products immediately ceases

  • You must delete all copies of the products from your devices

  • You must cease all use of works created with the products for commercial purposes (if applicable)

  • You will not be entitled to any refund

  • Sections of this Agreement that by their nature should survive termination will continue to apply

15. ENFORCEMENT

15.1 Monitoring and Detection

While we respect your privacy, we reserve the right to:

  • Monitor for unauthorized use or distribution of our products

  • Take action against accounts engaging in prohibited activities

  • Investigate suspected violations of this Agreement

15.2 Consequences of Violation

Violation of this Agreement may result in:

  • Immediate termination of your license

  • Deletion of your customer account

  • Legal action for copyright infringement

  • Claims for damages, lost profits, and attorney's fees

  • Reporting to appropriate authorities

15.3 Legal Remedies

In addition to termination, we reserve all legal rights and remedies available under UK law and international copyright law, including but not limited to injunctive relief and monetary damages.

16. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom, without regard to its conflict of law provisions.

Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. GENERAL PROVISIONS

17.1 Entire Agreement

This License Agreement, together with our Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and KADO.Archive regarding the Digital Products and supersedes all prior agreements and understandings.

17.2 Amendments

We reserve the right to modify this Agreement at any time. Changes will be effective upon posting to our website with an updated "Last updated" date. Your continued use of the Digital Products after changes constitutes acceptance of the modified Agreement.

For products purchased before an amendment, the terms in effect at the time of purchase will apply unless the changes are required by law.

17.3 Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17.4 Waiver

Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

17.5 Assignment

You may not assign or transfer this Agreement or your license to any third party. We may assign this Agreement to any successor or affiliate without restriction.

This License Agreement ("Agreement") is a legally binding contract between you (the "Licensee" or "you") and Apparicio Junior trading as KADO.Archive ("Licensor", "we", "us", or "our"), governing your use of digital products purchased from https://kadoarchive.com.

Definitions:

  • "Digital Products" means all iPhone presets, wallpapers, DaVinci Resolve PowerGrades, design guides, educational materials, bundles, and any other digital assets sold by KADO.Archive

  • "License" means the right to use the Digital Products under the terms specified in this Agreement

  • "Personal Use" means use by you for non-commercial, non-business purposes

  • "Commercial Use" means any use related to business, trade, revenue generation, or professional services

  • "Personal Devices" means electronic devices that you personally own or control

2. LICENSE GRANT

Upon successful payment and download of any Digital Product, we grant you a non-exclusive, non-transferable, personal use license to use the purchased Digital Products subject to the terms and conditions set forth in this Agreement.

What This Means:

  • Non-exclusive: Others can also purchase and use the same products

  • Non-transferable: You cannot give, sell, or transfer this license to anyone else

  • Personal use: For your own personal, non-commercial projects only

3. SCOPE OF LICENSE

3.1 Number of Installations

You may install and use the Digital Products on unlimited personal devices that you own or control, including but not limited to:

  • Personal computers (desktop and laptop)

  • Smartphones and tablets

  • Any other personal electronic devices

3.2 One License Per Person

Each purchase constitutes one license for one person only. You may not:

  • Share your downloaded files with friends, family, or any third party

  • Allow others to access your account to download the products

  • Install the products on devices you do not personally own or control

3.3 Backup and Re-downloads

  • You may create backup copies of the Digital Products for personal archival purposes

  • You may re-download the Digital Products through your customer account portal at any time

  • Lost or deleted files can be recovered through your account without additional payment

4. PERMITTED USES

You MAY use the Digital Products for the following purposes:

4.1 Personal Creative Projects

  • Edit your personal photos using presets

  • Use wallpapers on your personal devices

  • Apply color grading to personal videos using PowerGrades

  • Learn and practice design skills with educational materials

4.2 Social Media Sharing

  • Post photos and videos edited with our products on social media platforms

  • Share your creative work on Instagram, Facebook, YouTube, TikTok, and other platforms

  • Discuss and showcase the products in your social media content

  • Create content for your personal (non-monetized) social media accounts

4.3 Student and Portfolio Use

  • Use the products in school projects and assignments

  • Include work created with our products in your personal portfolio

  • Showcase your skills and creativity using the products

  • Reference concepts learned from educational materials in academic work

4.4 Modifications to Presets and PowerGrades

  • Adjust and modify presets within Lightroom, Photoshop, or other editing software

  • Customize PowerGrades within DaVinci Resolve

  • Create derivative settings based on our products for your own personal use

  • Fine-tune products to match your personal creative vision

5. PROHIBITED USES

You MAY NOT use the Digital Products for any of the following purposes:

5.1 Sharing and Distribution

  • Share, distribute, or transfer the Digital Products to any other person

  • Upload the products to file-sharing platforms, torrent sites, or cloud storage for others to access

  • Allow household members, friends, or family to use your downloaded products

  • Include the products in any template, kit, or bundle for distribution

  • Post the actual product files online or make them available for download

5.2 Commercial Use Without License

Commercial use is strictly prohibited without obtaining a separate commercial license. Commercial use includes but is not limited to:

  • Freelance Work: Using the products for paid client work, including photography, videography, or design services

  • Business Operations: Any use related to a business, company, or professional practice

  • Revenue-Generating Content: Using the products for monetized YouTube channels, sponsored Instagram posts, paid partnerships, or any content that generates income

  • Professional Services: Wedding photography, event photography, commercial videography, or any paid creative services

  • Agency or Studio Work: Use by design agencies, production companies, or creative studios

  • Resale or Licensing: Creating or selling products, prints, or services that incorporate our Digital Products

5.3 Wallpaper Modification

  • Wallpapers are final production files and may NOT be modified, edited, or altered in any way

  • You may not crop, resize beyond standard scaling, add elements to, or create derivative works from wallpapers

  • You may not use wallpapers as source material for other creative projects

  • Wallpapers must be used as-is in their original form

5.4 Reproduction and Reverse Engineering

  • Recreate, reverse engineer, or attempt to extract elements from the Digital Products

  • Use the products as reference to create competing products or services

  • Decompile, disassemble, or attempt to derive the source methodology of the products

  • Create tutorials showing others how to replicate the products

5.5 Ownership Claims

  • Claim authorship or ownership of the Digital Products

  • Remove, alter, or obscure any copyright notices, watermarks, or attribution

  • Present the products as your own creation

  • Sublicense, rent, lease, or lend the products to others

5.6 Transfer of License

  • Sell, gift, or transfer your license to another person or entity

  • Transfer the products when selling a device they're installed on

  • Include the products in the sale of any computer, phone, or electronic device

  • Allow the license to be inherited or transferred upon death or business dissolution

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Ownership

All Digital Products, including but not limited to presets, wallpapers, PowerGrades, design guides, and educational materials, remain the exclusive intellectual property of Apparicio Junior trading as KADO.Archive and/or our contributing artists and designers.

This license grants you the right to use the products, not to own them. All copyrights, trademarks, trade secrets, and other proprietary rights remain with KADO.Archive.

6.2 Derivative Works

  • Works you create using the products (e.g., photos edited with presets) are yours

  • The products themselves and any modified versions remain our property

  • You own the final output, but not the tools used to create it

6.3 Attribution

While not required, we appreciate when you credit KADO.Archive when sharing work created with our products. However, we understand this may not always be practical, and attribution is optional and voluntary.

7. UPDATES AND NEW VERSIONS

7.1 Product Updates

If we release updates, improvements, or bug fixes to an existing product you have purchased, you will receive these updates free of charge through your customer account.

7.2 New Products

New products, collections, or substantially different versions are considered separate products and require a new purchase. The distinction between an update and a new product is at our sole discretion.

7.3 No Obligation

We are not obligated to provide updates, support, or new versions of any Digital Product. Any updates provided are at our discretion.

8. EDUCATIONAL MATERIALS

Educational products (including but not limited to ebooks, guides, and courses) are subject to the following additional terms:

8.1 Personal Learning Only

  • Educational materials are licensed for your personal learning and reference only

  • You may not share, distribute, or reproduce the materials

  • You may not teach courses or workshops using our materials without permission

8.2 Discussion and Application

  • You may discuss concepts and ideas learned from the materials

  • You may apply techniques and knowledge gained in your own work

  • You may reference general concepts (but not reproduce content) in discussions or teaching

8.3 No Reproduction

  • You may not photocopy, scan, or digitally reproduce the materials

  • You may not create derivative educational materials based on our content

9. COMMERCIAL LICENSING

9.1 Obtaining a Commercial License

  4. Negotiate and agree upon commercial licensing terms and pricing

9.2 Commercial License Terms

  • Commercial licenses are product-specific and use-specific

  • Pricing is determined on a case-by-case basis

  • Payment is a one-time fee (not recurring)

  • Commercial license terms will be provided in a separate written agreement

  • Commercial licenses are still non-transferable

9.3 Unauthorized Commercial Use

Using any Digital Product for commercial purposes without a valid commercial license constitutes a material breach of this Agreement and may result in:

  • Immediate termination of your license

10. PAYMENT AND DELIVERY

10.1 Payment Processing

Payments are processed through secure third-party payment processors (currently Lemon Squeezy or Stripe). By purchasing, you agree to their respective terms of service and privacy policies.

10.2 Instant Delivery

Upon successful payment, you will receive immediate access to download your purchased Digital Products. Download links and access will be provided via email and through your customer account portal.

10.3 Account Access

You will have ongoing access to your purchased products through your customer account, allowing you to re-download products at any time.

11. NO REFUNDS

All sales are final. No refunds will be issued under any circumstances, as Digital Products are delivered instantly and cannot be returned.

If you experience legitimate technical issues (file corruption, download problems, compatibility issues), contact us at info@kadoarchive.com with:

  • Your order number

  • Description of the technical issue

  • Supporting evidence (screenshots, error messages, etc.)

We will provide technical support and replacement files for verified technical issues, but this does not constitute a refund policy.

12. WARRANTY AND DISCLAIMER

  • Digital Products will be delivered as described

  • Files will be free from defects in workmanship at the time of delivery

  • Products will perform substantially as described

12.2 Compatibility

We do not warrant compatibility with all devices, software versions, or operating systems. It is your responsibility to verify compatibility before purchase:
